Royds Withy King Deals with the Logistics of Transport Company Purchase

A Blackburn-based transport group has acquired a family-run logistics business, with advice and support from Royds Withy King.

Royds Withy King acted for OTIF Holdings Limited, which is owned by entrepreneur Graham Darnell, on its purchase of Adam Jones & Sons Group and its associated company RH Baggott Limited. The West Midlands-based business has been in the same family for over 100 years, providing transportation, pallet distribution, warehousing and logistics.

Royds Withy King’s corporate lawyers Katharine Mortimer and Ed Chapman, Real Estate lawyer Richard Gorham and Employment lawyer Tim Gofton worked closely with their client to get the deal over the line.

Partner Katharine Mortimer said: “It was great to have the opportunity to work with Graham Darnell on this latest acquisition which will see him strengthen and expand his existing operations in the North West and the Midlands. Looking at the deals we have been involved with over the last 12 months, it’s clear that the appetite for acquiring robust, profitable businesses is still strong in spite of the uncertainty around Brexit.”

Corporate finance specialists Watersheds acted for the buyer while funding was provided by RBS and Haydock Finance.
